Cyprus Company Of Foreign Interests Eligibility: Who Qualifies And Who Does Not
Qualification turns on ownership first, then on substance. Two routes exist, and the majority of applicants arrive through the first.
The Two Ownership Routes
- Third country shareholders hold more than half of the share capital in the Cyprus entity.
- Third country shareholders hold half or less, provided their participation is worth at least EUR 200,000.
Either way, the ultimate beneficial owner must bring at least EUR 200,000 into the company from abroad. Evidence takes the form of a bank statement showing the deposit and the balance on the filing date, or receipts for office space, equipment and machinery bought in the corporate name. A SWIFT confirmation supports the transfer. Funds must sit with a credit institution licensed by the Central Bank of Cyprus.
Further Categories That Also Qualify
Each still has to satisfy the capital test:
- Public companies quoted on any recognised stock exchange.
- Companies with international activities that operated before the regime changed, whose records the Central Bank holds.
- Shipping operators incorporated locally.
- Cypriot high-tech or innovation companies with genuine research intensity and a product already in the market.
- Cypriot pharmaceutical businesses, plus those working in biogenetics and biotechnology.
- Firms whose share capital is held mainly by people naturalised on economic criteria, where the original terms continue to hold.
Who This Classification Will Not Cover
- A business trading from a private residence, a co-working desk or a virtual address, since separate offices in Cyprus are mandatory.
- Property bought purely to run a related trade, such as an estate agency acquiring stock, which the BSC excludes from the capital test.
- Any company registered outside the HE and AE entity types, because the electronic portal accepts nothing else.
- Applicants whose beneficial ownership chain cannot be evidenced down to named individuals.

Files stall for predictable reasons: capital arriving from a third-party account, a lease signed personally rather than by the corporate vehicle, or credentials that do not match the role described.

What The Authority Expects In The File

Copies suffice at the electronic stage in Cyprus. Originals may be requested later, so keep the company file complete and current.
Employee Criteria And Permit Terms
Employees sponsored under this heading must meet three conditions set by the Council of Ministers:
Permits follow the contract and run up to three consecutive years, renewable without a ceiling on total stay. Applications lodged in complete form are examined within a month, and no labour market test applies in Cyprus for this category. Absence from the island beyond three consecutive months cancels the permit, which catches out people who treat the arrangement as a paper exercise.
Family Members and Spouses
Sponsored employees may bring a spouse and minor children through family reunification. Spouses of hires paid at or above the EUR 2,500 floor gain free access to the labour market and register that employment with the Migration Department. Where relatives fall outside the reunification conditions, dependent visitor permits cover parents, partners in a proven relationship and adult children.
The Naturalisation Route
Article 111B(2) shortens the path considerably, and the benefits compound for anyone planning a long stay. Highly skilled employees at a qualifying employer may seek Cypriot citizenship after a total of five years with A2 Greek, or four years where the applicant holds B1. Each figure combines the cumulative qualifying period with the twelve continuous months required immediately before filing. Ordinary applicants need eight years on the same basis. What Registration Costs
No competitor page in this market publishes a figure, and any firm quoting a single number is guessing at scope. Cost splits into four buckets.
Government charges
Filing the register application, the entry visa, the residence card and first inclusion in the aliens register each carry a set charge per person, revised periodically by the Cyprus authorities. We confirm the current schedule in writing at quotation rather than publishing figures that date.
Capital and premises
The EUR 200,000 is capital, not a fee, and it stays inside the company. Rent, fit-out and equipment are ordinary business spend, and receipts for them can serve as evidence.
Third party costs
Certified translations, apostilles, criminal record certificates, medical examinations, health cover and contract stamping fall here. Volume drives the total, so a five-person relocation to Cyprus costs materially more than a founder moving alone.
Professional fees
Ours are quoted per engagement against a defined scope: incorporation, entry in the register, per-hire permits, dependants, and ongoing payroll plus renewal services. Comparing quotes on headline price alone misleads, because some providers exclude permit filings from the initial figure entirely.
The Compliance Deadline Is 31 December 2026
Employees already holding permits at key personnel level on gross pay of EUR 2,000 or more have been renewing without adjustment under a transitional concession. That relief lapses on 31 December 2026, and renewals afterwards need the full EUR 2,500. The date is fixed and applies to everyone already on the register.
The Workforce Ratio, Which Works Differently
Separately, every registered employer commits to a workforce that is at least 30% Cypriot or EU national within five years of joining. That clock starts at your own registration date rather than on a calendar deadline shared by the market, and the authorities have signalled a review point for new hires from early 2027. Shortfalls go to individual merit review rather than automatic refusal. In client work we frequently see groups discover both obligations during a renewal cycle rather than at budgeting, which is an expensive way to find out.
Employers with a December or January renewal date should model both changes now.
Tax Position After The 2026 Reform
The reform enacted on 31 December 2025 reset several headline figures, and pages still quoting 12.5% are simply out of date. Corporate income tax stands at 15%. Special defence contribution on dividends fell from 17% to 5%, deemed dividend distribution went for profits from 2026 onward, and losses now carry forward for seven years instead of five.
Relocating personnel matters here too. Qualifying employment income above EUR 55,000 attracts a 50% exemption for seventeen years, which changes the arithmetic on senior packages far more than the corporate rate does. The BSC states its reasons, and a corrected submission is possible. We review the grounds, fix the underlying problem and refile. Where the defect is structural, such as ownership that cannot meet either threshold, we say so instead of billing for a second attempt.

What must we supply before you can file?
For the company: proof of shareholding, beneficial ownership evidence down to named individuals, the lease or title deed, and confirmation of the capital transfer. For each hire: passport, degree or experience evidence, a signed two-year contract at or above the pay floor, and a criminal record certificate. Dependants need marriage and birth certificates. Paperwork issued abroad generally needs apostille and certified translation, both of which we arrange on your behalf.
What obligations continue after approval?
Compliance runs beyond the one-off approval. Renew permits before expiry, keep premises genuinely operational, maintain payroll and social insurance filings, and file audited accounts and tax returns annually in Cyprus. Track the workforce ratio, since assessment on new hires begins in January 2027. Notify the Migration Department when personnel leave or change role. Failure to keep any leg current puts both the corporate status and individual permits at risk of withdrawal.
Can the owner obtain a permit through their own company?
Yes. Beneficial owners routinely take a directorship, draw a salary at or above the threshold, and hold residence and work permits on the same terms as any senior hire. Family reunification follows, and time accrued counts toward the accelerated naturalisation route. This arrangement is the usual structure for a founder relocating with a small team, and it avoids a separate investor residency application in Cyprus entirely, along with the delay that route carries.
